End User License Agreement

ZeroSlip is a merchant engagement platform that connects to your point-of-sale (POS) system and e-commerce store to help you build stronger customer relationships. Once connected, ZeroSlip delivers the following services to you and your customers:

• Smart Receipts — branded digital receipts delivered to your customers via SMS or email at the moment of purchase, replacing paper slips.
• Z CRM — a customer relationship management tool that automatically builds a profile for every customer who transacts at your store.
• RewardBee — a loyalty and rewards programme that lets your customers earn points, redeem rewards, and receive push notifications through the RewardBee mobile app.
• Smart Feedback — automated post-purchase feedback requests sent to customers so you can monitor satisfaction and resolve issues early.
• AI Campaign — AI-powered marketing tools (including SMS, WhatsApp, and email campaigns) that target the right customers based on their purchase history.
• Automation Builder — a visual workflow tool that lets you set up trigger-based customer journeys (e.g. win-back sequences, birthday offers, abandoned-cart push notifications).

ZeroSlip integrates with leading POS systems and e-commerce platforms — including Shopify — to capture transaction and behavioural data for the purposes described above.

This End User License Agreement ("EULA" or "Agreement") is between ZeroSlip ("ZeroSlip," "we," "us," or "our") and the Merchant ("you") who installs or uses the ZeroSlip application through any channel or marketplace.

If you are accepting this Agreement on behalf of a business, you confirm that you have legal authority to bind that business. Any third-party app marketplace through which you discover or install ZeroSlip is a distribution channel only and is not a party to this Agreement.

Subject to your compliance with this Agreement, ZeroSlip grants you a limited, non-exclusive, non-transferable, revocable licence to:

• Install and use the ZeroSlip application on devices registered to your merchant account.
• Access the ZeroSlip merchant dashboard and all features included in your selected plan.
• Use ZeroSlip to engage your own retail customers through receipts, loyalty, feedback, and campaign tools.

This licence is for your internal business operations only. It does not grant you any rights to ZeroSlip's source code, algorithms, AI models, or intellectual property.

As a Merchant using ZeroSlip, you are responsible for:

• Obtaining all necessary consents from your customers before their contact information (phone number, email) is collected at the point of sale and used to send them receipts, loyalty updates, or marketing messages.
• Ensuring your use of ZeroSlip's campaign and automation tools complies with applicable anti-spam, data protection, and consumer protection laws in your jurisdiction.
• Maintaining the confidentiality of your ZeroSlip dashboard login credentials.
• Keeping your business profile, contact details, and payment information accurate and up to date.
• Using the Automation Builder and AI Campaign tools responsibly — not to send misleading, harassing, or unlawful communications to your customers.
• Notifying ZeroSlip promptly at support@zeroslip.co if you suspect any unauthorised access to your account.

ZeroSlip processes your customers' (shoppers') personal data — including contact information, transaction history, loyalty balances, and behavioural events — on your behalf, acting as a data processor. In this relationship:

• You remain the data controller responsible for your shoppers' data. ZeroSlip processes it only to deliver the Services to you.
• You must have a lawful basis to share your customers' data with ZeroSlip (e.g. consent collected at checkout, or a legitimate interest in sending purchase receipts).
• Push notifications sent to customers through RewardBee require the customer to have installed the RewardBee app and granted push notification permission. ZeroSlip does not send unsolicited push messages.
• Shopify pixel events (cart views, product additions, checkout starts) are collected only for merchants who have connected their Shopify store and installed the ZeroSlip pixel.
• Customer data is never sold to third parties. It is used exclusively to deliver the Services you have subscribed to.

You agree not to:

• Reverse engineer, decompile, or attempt to extract ZeroSlip's source code or AI models.
• Resell, sublicense, or white-label ZeroSlip to third parties without written permission.
• Use ZeroSlip to send spam, phishing messages, or any communication that violates applicable law.
• Scrape, bulk-export, or misuse customer data obtained through ZeroSlip for any purpose outside the Services.
• Attempt to gain unauthorised access to ZeroSlip's servers, databases, or other merchants' data.
• Use ZeroSlip's AI tools to generate false reviews, misleading promotions, or deceptive content.

ZeroSlip and its licensors own all rights in the platform — including the dashboard UI, AI agents (Alex, Sarah, Max, Leo), automation engine, receipt templates, and all underlying code. You own the data you input (your store details, campaigns, customer records). You grant ZeroSlip a limited licence to process that data solely to deliver the Services.

Anonymised, aggregated insights derived from platform usage (e.g. industry benchmarks) may be used by ZeroSlip to improve its products and do not constitute use of your confidential data.

ZeroSlip continuously improves its platform. We may add, modify, or remove features at any time. For significant removals that affect your core workflow, we will give you reasonable advance notice. Continued use of the application after an update constitutes acceptance of the updated version.

THE APPLICATION IS PROVIDED "AS IS." ZEROSLIP MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CAMPAIGN RESULTS, LOYALTY ENGAGEMENT, OR AI-GENERATED INSIGHTS WILL MEET ANY PARTICULAR OUTCOME. USE OF AI CAMPAIGN AND AUTOMATION TOOLS IS AT YOUR OWN DISCRETION AND RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEROSLIP IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES — INCLUDING LOST REVENUE, LOST CUSTOMERS, OR DATA LOSS — ARISING FROM YOUR USE OF THE PLATFORM. ZEROSLIP'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE FEES YOU PAID IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

• This Agreement begins when you install or first use ZeroSlip and continues until terminated.
• You may terminate by cancelling your subscription and uninstalling the application.
• ZeroSlip may suspend or terminate your access immediately for breach of this Agreement, non-payment, or if required by law.
• On termination, your licence ends. You may request an export of your customer data within 30 days of termination. After that period, data may be deleted in accordance with our Privacy Policy.

This Agreement is governed by applicable law. Disputes that cannot be resolved amicably will be referred to the competent courts or binding arbitration as appropriate for your jurisdiction.
